Foreign direct ownership of land is prohibited by Cambodian law. However, there are legal mechanisms that allow foreigners and foreign entities to indirectly own and operate land within the Kingdom.Brief History of Land Ownership in CambodiaPrivate ownership of land only became possible in 1992 when the Cambodian Government passed the land law. The local Sangkat issue Soft Title to Cambodians, which is not a full guarantee of ownership and has thus been being exchanged in favor of the nationally-recognized Hard Title.In 2001 the new Land Law came into effect, further strengthening an individualโ€™s right to property ownership and since then, many changes have been made in order to accommodate a more dynamic market that would benefit the economy and the people.It may seem like a lot to take in, but talking about the land ownership law in Cambodia doesnโ€™t always have to be a heavy topic. Here, Realestate.com.kh breaks down things you need to know to be able to invest inland.Since the redistribution of land in 1992, ownership of land can now be held in Cambodia by means of the different titles available. These include hard titles, soft titles, strata titles, and LMAP titles. These serve as official proof of ownership in the Kingdom. But whatโ€™s interesting about Cambodian land titles is that even if some titles are recognized nationally, some titles are also only recognized at the local government level.Foreign ownership mechanisms for land in CambodiaThe Land Law of Cambodia prohibits foreigners from directly owning property in the country except through a strata title. But strata titles for residential units are only usually made in co-owned buildings and not land. Fortunately, there are ways foreigners have been able to secure land in Cambodia.Via a Khmer nominee or licensed trust companyThis method will require foreign investors to โ€œnominateโ€ a person with Cambodian citizenship to be the legal owner of the land to be purchased. A โ€˜trust agreementโ€™ will be formed between the two entities wherein the nominee will agree to hold the property in their name. This method is arguably the most common form of owning land for foreigners due to its straightforward approach and low associated costs. However, it is not a method advised if an investor does not have anyone they can trust to hold their investment.Alternatively, investors looking to go down this route can do so through a licensed trust company in Cambodia. In January 2019, the Royal Government of Cambodia promulgated the Trust Law (the โ€œTrust Lawโ€) strengthening the regime of trusts in the legal system which commenced in 2013. Trust companies allow foreigners to legally own land in Cambodia in their stead. This method is advised for investors who are looking for a licensed service provider liable to legal authorities.Forming a land holding companyA Land Holding Company (LHC) can be formed by a foreigner looking to buy land through a joint venture with a Cambodian. By law, the foreigner has to take up the minority stake up to 49% while the Cambodian partner takes up the majority stake at least 51%. This may seem like a significant caveat for a foreigner looking to go this route, but control of the LHC may fully be granted to the minority stakeholder (the foreigner) through company bylaws, special power of attorney, or other legal instrumentations.The only real drawback of this approach is the cost of registration fees, administration costs, and tax burdens levied on the company and property.Government concessionLand concessions are a means to owning property as a foreigner under an agreement with government authorities. This allows foreigners to legally occupy, utilize and exercise rights over the land in question.The Cambodian government usually grants these concessions through Economic Land Concessions (ELC) and are usually allocated for agricultural and industrial developments. These concessions can be extended through a long-term leasehold. Investors must apply for ELCs through the Ministry of Agriculture, the Council for the Development of Cambodia (CDC), and local provincial authorities will then approve the application after investigating the social and environmental effects of the concession.Once initial approvals have been met, the application will go to the office of the Prime Minister where it will be endorsed to the Ministry of Agriculture and become a formal concession agreement. This process may take anywhere from 6 to 9 months.Marrying a CambodianAnother straightforward way of owning land that is not too dissimilar to the previously mentioned nominee structure. Foreigners married to a Cambodian are allowed to purchase land in the Kingdom, however, the name on the land title will only have the Cambodian spouse's name.If you wish to marry a Cambodian, Realestate.com.kh advises you to consult the Cambodian embassy in your home country or consult your home country's embassy if you are already residing in the Kingdom.Becoming a Cambodian citizenThe land ownership laws of Cambodia make the right to own land in their name exclusive to Cambodian citizens. Fortunately, like most countries, it is possible for a foreigner to acquire a Cambodian citizenship, making it arguably the most direct, and consequently, most secure way of owning land in Cambodia. Itโ€™s given by the Land Management and Planning Office. It contains information thatโ€™s recognized by the Ministry of Land and the cadastral office at a national scale. A transfer tax of 4% is paid when a property with a hard title is sold.A Strata Title is also a form of a Hard Title but is most commonly given on newer developments. Strata title holds that foreigners are not allowed to acquire a grounded unit and that foreign ownership is limited to 70% of units in any co-owned building.Soft titles are the most common issued titles in Cambodia. Itโ€™s registered and only recognized at the local government level and given by the district office.Land Management and Administration Project Title are considered the safest kind of land title because it uses GPS to allocate land plots. This accurately shows the boundaries of purchased land.How Do I Know What Type of Title I Have?Soft titles typically refer to three documents that can show proof of ownership. These are the application for land occupation, a local government acknowledging the letter of transfer, or a simple private sale-purchase agreement.An application for land occupation is the request made by the possessor of land to the local authorities. A letter of transfer thatโ€™s acknowledged by local authorities is a document of transfer that the Chief has acknowledged and signed. While the simple private sale-purchase agreement is an agreement made only between the buyer and seller.Hard titles also refer to three certificate types. These are the Certificate of Land Use and Occupation Rights, Certificate of Immovable Property Possession, and the Certificate of Immovable Property Ownership.Certificate of Land Use and Occupation Rights are called โ€œchicken feather titlesโ€ because it has an image of a feather printed on them. This refers to titles issued to owners before the enactment of the land law.The Certificate of Immovable Property Possession is given if the land registration was initiated by an owner in an area where the systematic land registration hasnโ€™t been conducted yet by the government. This is known as โ€œsporadic land registrationโ€. This document usually doesnโ€™t have the map of the property included.The Certificate of Immovable Property Ownership is given after a systematic land registration by the government. Kiri also mentioned that the cost to do so depends on the location and size of the property.How Do Foreigners Legally Protect Their Land Ownership?Locals may be more secure in just getting a Hard Title and avoiding scams. Foreigners, on the other hand, will need to deal with a few more security details for them to safeguard their land. But itโ€™s not as complex as people think.When a property is owned through a Khmer nominee, foreigners should enter a nominee agreement with the Cambodian citizen. The Khmer nominees should also grant foreigners a long-term lease. A mortgage should be made and registered on the title. Foreigners should also hold the original title. To prevent any misunderstandings in the event of an accident or death, the nominee should also prepare a will or supporting documents.Should ownership fall on a landholding company, it is important to enter into nominee protection documents. The company should be required to grant the foreigner a long-term lease. Similar to the first scenario, a mortgage should be taken and registered on the title, and a will or supporting documents should also be prepared.Like most countries, laws in Cambodia continue to evolve to accommodate the demand of both local and international investors. Knowledge of these important obligations will not only make transactions easier but also help everyone avoid unnecessary costs and penalties.This guide is designed to give you a basic understanding of obligations so you donโ€™t go blind into Cambodiaโ€™s property market.Overview of Property Taxes in Cambodia:Cambodia has a 0.1% Property Tax applied on Immovable PropertiesProperty Taxes must be paid every year around SeptemberProperties below $25,000 (100 Million KHR) are exempt from Property TaxAgricultural land, industrial, and state-owned lands are exempt from Property TaxLocal tax offices have a valuation matrix called the Tax Base for specific property types and sizes within their jurisdiction, this factors into the final Property Tax that has to be paid.How much is Property Tax in Cambodia?Property taxes in Cambodia are officially referred to as โ€œTax on Immovable Propertyโ€ (TOIP) and levies an annual tax of 0.1% on properties that have a value of more than $25,000 (100 million KHR). Transfer/Stamp Tax)The Registration Tax (a.k.a. Transfer/Stamp Tax) is the tax paid for transferring property ownership or right occupancy of land that does not have a standing building on top. This is a 4% tax derived from the Tax Base of the property in question.This property-related tax is crucial to know if youโ€™re someone looking to buy or sell property in Cambodia. Sellers are generally the ones shouldering the transfer tax, though it can go either way - this is best discussed in clear terms with whoever you may be transacting with.NOTE: Properties transferred to direct kin via inheritance are exempted from the Registration Tax. The relevant Prakas states โ€œtransfers between spouses, parents, and children, or grandparents and grandchildren, will no longer require this taxโ€Calculation formula: (Tax Base*4%) = Registration TaxSample calculation: ($100,000*4%) = $4,000 Registration TaxProperty Tax on Rental PropertyLocals and foreigners who own and rent out their properties need to pay Rental/Income Tax every year. A foreign investor who buys property here and rents it out needs to pay 14% of the gross rate annually while locals have to pay 10%.Property Tax on Unused LandThe Unused Land Tax is a 2% tax levied on bare plots of land with no building constructed and abandoned landed properties in cities like Phnom Penh. The Unused Land Tax is determined by the Unused Land Appraisal Committee (ULAC).How is Property Tax paid in Cambodia?Property Taxes can be paid via local tax office branches or through ACLEDA Bank, Canadia Bank, Vattanac Bank, or Cambodia Public Bank. For already registered properties, taxpayers will only need the tax payment receipt of the previous year or their Property Tax Registration ID.For unregistered properties, owners must contact the local tax office their property is in. The following documents will be required for registration:Tax Form PT01 - a form issued by the General Department of Taxation (GDT) that asks owners to outline the specifics of their property.Tax Form PT02 - another form issued by the GDT which serves as a tax application form.National ID Card, Birth Certificate, or PassportResidence Book or Family Book or Residency LetterOther documents may be required depending on the status of those involved in the transaction. We highly encourage seeking legal assistance for more specific matters.Capital Gains Tax in CambodiaThe Capital Gains Tax in Cambodia is a flat 20% rate. The Capital Gains Tax was promulgated through Prakas 346 in April 2020 and was initially to be enacted in July 2020. However, the advent of COVID-19 delayed its implementation to January 2022 to keep Cambodia's property market activity going throughout the pandemic.Contrary to what most people perceive: The Capital Gains Tax in Cambodia is not exactly new; businesses in the Kingdom have always paid capital gains. The material difference now is that it applies to individuals, especially those looking to sell immovable property a.k.a. real estate. A more thorough discussion of Capital Gains Tax in Cambodia can be found here.The Capital Gains Tax in Cambodia can be calculated in 2 different ways:Actual Expense Deduction MethodThis method takes the sales proceeds and subtracts the expenses the seller made on that property to get the actual Capital Gains Tax to be paid. These deductibles can be the purchase cost, consulting fees, registration tax, commissions, and even advertising. These actual expenses are deducted from the sales proceeds and 20% of the difference will be the Capital Gains Tax to be paid.There are more applicable deductibles so we highly suggest you keep tabs on the expenses you made in your property if you are planning to sell in the future.Determination-Based Deduction MethodThis method takes 80% of the sales proceeds and subtracts it from the whole sales value. The result will be the Capital Gains and 20% of it will be the Capital Gains Tax to be paid. This method is highly beneficial for property owners who buy low and are planning to sell high.Capital Gains Tax in Cambodia is expected to be enforced by January 2022. This new construction site will soon be home to the first ย wholesale supermarket in the country, known as Makro.According to Cambonomis, Makro supermarket will be built on an area of approximately 5 hectares with a height of 2 floors. It will be located in Sen Sok district, near Aeon Mall 2 (AEON), Japan supermarket.The upcoming supermarket is a joint venture between the company, LYP Group, which owns 30 percent., And CP Group owns 70 percent. This project will employ over 200 employees, working for the rising shopping mall.The local media have reported that yesterday's (29th of May) groundbreaking ceremony, the Mayor of Phnom Penh Mr Pa Socheatvong said "The establishment of supermarkets are within the governmentโ€™s project. The impact of his architecture is felt around numerous corners of the Kingdom - with many still applauding his architectural style.Ms. Tri Lida from Re-Edge Architecture & Design refers to Molyvann as โ€œthe father of Cambodian architectureโ€ - holding a โ€œunique ability to incorporate Khmer style with natural elements, creating sustainable buildings where the air and sunshine flow from the inside out.โ€Some of Molyvannโ€™s most significant projects are the Independence Monument, the National Olympic Stadium, the Royal University of Phnom Penh, the Chaktomuk Conference Hall, Preah Suramarit National Theater, the Council of Ministers building and the State Palace in Chamkarmon โ€“ now the place of the Senate.There are also several of his projects which are less known by the general public; such as the stupas within the Royal Palace, the Kantha Bopha Hospital, the first Siem Reap airport and the pavilions and temples for the 2,500th anniversary of the Buddha.Aside from the many projects he completed within the Kingdom, Molyvann also worked on projects abroad such as the Exhibition Hall for the International Trade Fair in Osaka, Japan, the Exhibition Hall For the International Trade Fair of Zagreb, the Exhibition Hall at the International Trade Fair of Brno, Czechoslovakia, and the Exhibition at the Galleries Lafayette in Paris.However, when asked his most loved architectural projects, these are all national - although not all are still in existence: โ€œThe ones I love the most is the National Olympic Stadium and Preah Suramarit National Theater on Bassac in Phnom Penh. There are many other projects I was fond of, but unfortunately some of them have been replacedโ€‹ by new buildings or were destroyed,โ€ said Mr Molyvann.The demolition of old architecture is a recurrent issue in Cambodia, which the photo expert and owner of the โ€œAmazing Cambodiaโ€ photo archives, Mr Srin Sokmean, has likewise noted: โ€œIt is a great pain to witness those architectural heritages disappear one by one. I always question myself why they are destroyed and not suitably renovated.โ€This is what pushed him to produce a vintage photo collection book named โ€œCambodia: Half Century Then & Nowโ€ which aims to enable people to visualize the beauty of Cambodia in the past and how the current landscape has been modified. On top of this, Sokmean has a popular facebook page and blog demonstrating his collections of photography.ย โ€œI strongly believe that redecoration is the best option, because each building has its own attractive point. Development and architectural conservation need to go togetherโ€ he added.โ€œOld buildings are not always useless; instead they can be perfectly converted into museums, art galleries, boutique hotels or other amenities,โ€ he concludes.And Sokmean is not the only one trying to preserve national heritage via media platforms.ย Mrs. Teav Bandol of Image Printing also shares a similar concern that, โ€œduring development, many countries face the dilemma of whether to preserve or replace heritage buildings to give space for new development; sadly most countries choose the latter. Cambodia is no exception.โ€She continued, โ€œIt should not be destroyed but preserved. Both old and new architectural work must be kept in its place in order for the public to witness the evolution from one generation to another. With Cambodiaโ€™s growth as an emerging economy in the global market, it is inevitable for new technological advancements to also penetrate through to different industries. One such industry though is the transport sector, where the country is slowly trying to catch up with its neighbors โ€“ specifically, in terms of transportation booking apps for mobility. But is the market really open to welcome new players in the industry or is it getting too crowded?Whoโ€™s willing to take a risk?While UBER may be a global phenomenon for bringing ease and comfort to millions of people worldwide, itโ€™s not the first of its kind to actually spring up in Cambodia. Previous startups have given this a go. These include Choice Taxi, Exnet Taxi Cambodia, PassApp Tax, and iTsumo. But the company doesnโ€™t seem any bit fazed.Just recently, David Van โ€“ Managing Director of Bower Group Asia โ€“ brought UBER representatives toย meet withย Cambodian Minister of Public Works & Transport Sun Chanthol to discuss proposals for their future launch. Although no details have been given yet regarding the official date of the launch, it looks like the company is in full gear to do it soon because this news comes only a two months after UBERโ€™sย first meetingย with the Cambodian Minister of Commerce Pan Sorasak.UBER CambodiaThe company may be coming in full force, but there are also concerns of UBER eventually collapsing, especially with news of them having pulled out fromย Chinaย in exchange for a 20% holding in its competitorโ€™s company, Didi. CNN also reports that UBER is pulling out fromย Denmarkย as well. If thatโ€™s any indication, then UBER may have troubles with the Cambodian Market.Despite this, a post from the ministry of Commerceย Facebook pageย says โ€œMr. Chan Park and Mr. Brian Shroder, the representatives of American worldwide online transportation network company called โ€˜UBERโ€™ said that they were very impressed with Cambodiaโ€™s new market. But at the same time, they need to understand more about economic situation, peopleโ€™s living standard, and other challenges first.โ€How will people accept UBER?According to Masahito Ambashi, Economist for the Economic Research Institute for Asean and East Asia, mentioned โ€œUBER is famous internationally, including in Cambodia. Consumers may try its services, as they are different from those of locals. If such trends occur, a bandwagon effect could be expected.โ€ And this could ultimately lead to UBERโ€™s success.In line with this, Ambashi adds that โ€œmore wealthy middle-income groups โ€“ which can afford to enjoy service consumption โ€“ are certainly emerging in Cambodia.โ€ This means that the number of people who can afford UBER rides are also increasing.The other question remains, can Uber challenge the local tuk tuk market? Tuk tuks are everywhere in the major cities of Cambodia and are never far away from people in need of transportation for very low prices.The great thing about emerging markets is its potential for growth. But along with it comes the risks investors have to take because its regulations and laws are not fully developed yet. At the end of March, local NGO Building Trust International will be hosting the first ever CAMBOO Festival over the course of a week in Phnom Penhโ€™s Freedom Park. The open festival will see 6 of Phnom Penhโ€™s finest Architecture and Engineering universities battling it out in a sustainable building competition, each schoolโ€™s students designing and building bamboo displays on site for the judges. On top of this, the Festival will showcase the Kingdom's finest environmentally friendly construction and architecture technology. Realestate.com.kh caught up with David Cole, the founder and director of Building Trust International to learn more about Cambodiaโ€™s first Sustainable Design fair. David first came to Cambodia to deliver flood resistant housing to communities affected by severe flooding in 2013. He lives with his wife and young daughter in the capital and the design office he opened here, COLE Architecture+Design, continues to grow and take on new projects and support sustainable development across the country and region. ย ย 1) Tell us more about CAMBOO 2017:The CAMBOO Festival at the end of March will showcase Cambodia's rich natural environment with spectacular bamboo buildings and structures providing spaces for people to get to know local industries and local artisans. While promoting natural products and social enterprises that protect and promote some of Cambodia's best assets: natural landscapes and traditional skills. Six of the top Architecture and Engineering Universities from Phnom Penh are collaborating with us to design and build pavilions for the Festival. Building Trust are hosting an international design competition for the design of the temporary central hall space which will be a main feature of the Festival. The design challenge is already gaining the CAMBOO Festival international exposure. The week long event will host stalls in an eco market space along with shows, demonstrations and daily activities for people of all ages to get involved with.2) What's the purpose of the event?We want to celebrate Cambodia's natural resources and landscape and promote the amazing new industries working with natural products and providing sustainable development strategies that protect and enhance the environment for all those living in Cambodia and Southeast Asia. I work in the field of architecture and development, we are getting asked more and more to think about sustainability. In fact it is this growing interest in materials like bamboo that has provided the name to the festival CAMbodian bamBOO.3) Who is supporting the event?We have the support of a number of organisations doing great work with Ministries of the Environment, Fisheries and Forestry. We also have the support of the Municipality of Phnom Penh who have been kind enough to allow us to use Freedom Park. With this is mind, Realestate.com.kh spoke to some local investment specialists to find out how buyers can protect theirย assets during this period.So how can buyers and sellers proactively plan for the election period? What can/should they do to protect their assets?โ€œThe political climate creates more uncertainty in the market which reduces investor confidence during that time. We saw this being reflected by lower sales numbers during the previous election campaign. While it is true to be extra cautious in times of instability, there are even greater rewards to those who understand the market and capitalize on the situation. ย Many successful investors have made a significant part of their wealth during these turbulent times. Talking to an experienced agent who has been in Cambodia for significant amount of years will give you a true understanding of Cambodiaโ€™s situation and paint a clearer picture of the future, than newspapers covering the election,โ€ says Desmond Yap, the General Manager of Yong Yap Properties.โ€œMy advice - and it is not just because of the elections - would be convert any soft title property holding to hard title to guarantee your property ownership rights. As far as cash in the bank goes, just simply look towards a trusted commercial bank within Cambodia that has regional or international ties (if your still wanting some form of safety net or security around election time),โ€ says Joe Phelan, Head of Personal Financial Services at Hong Leong Bank.โ€œElection proofing your assets is relatively simple, investors should ensure they have enough liquidity to manage their assets during the election period - as forced sales during this time should be avoided. Astute investors should be preparing war-chests to take advantage of these opportunities. The election will come and go, and Cambodia has significant upside in regards to its continued economic growth and we believe this growth will continue,โ€ says David Murphy, Managing Director at Independent Property Services (IPS) Cambodia.โ€œI don't believe there's anything really one can do as the election period will be affected by events behold your control. The normal practices of due diligence should be adhered to ensure that any purchase or sale goes smoothly,โ€ Bobby Peoples, Country Manager at Home Connect (Cambodia) Ltd.โ€œBuyers and sellers should assess their financial position on a regular basis and think about having a good balance between cash, property holdings, and other liquid assets so that they can react quickly to any given situation. ย Most local investors have had experience in dealing with the ups and downs of the markets during the election cycles here.For foreign investors who have property holdings here, the feeling is a little more anxious if they have no deeper connections to the country other than their condos. ย They may consider to convert their soft title to hard or strata title if they havenโ€™t already done so, and to get a reputable management company to ensure that their units are rented out and well maintained, especially if the investor is based overseas.
